The rules, in plain English

If OpenAI confirms an IPO before January 1, 2027, the market resolves to Yes. An IPO is confirmed if any one of these happens: (1) the SEC declares OpenAI's Form S-1 effective, OR (2) the IPO is priced, OR (3) a securities exchange assigns a ticker to it. As long as any of those events occur, the market immediately resolves to Yes, even if OpenAI does not start trading until after January 1, 2027.

What the rules leave open

  • Whether a foreign exchange S-1 equivalent (e.g., prospectus approved by FCA, SEBI, MAS) counts if OpenAI IPOs outside the U.S.
closest the rules come: “The company's Form S-1 (or equivalent IPO registration statement) is declared effective by the U.S. Securities and Exchange Commission (SEC), or an equivalent regulatory filing is approved by a recognized national securities regulator (e.g., FCA, SEBI, MAS, etc.) and made public;” · contract terms ↗
